What we do

Contractbeeld: the contract secretariat

The independent bookkeeping of a contract. For client and contractor, Vortex maintains one current, traceable contract file, so that both parties know at any moment what applies today.

Article 1

What Contractbeeld is

Contractbeeldnoun

The independent bookkeeping of a contract.

1.1

Contractbeeld is an ongoing service for a fixed monthly fee. Vortex sets up the contract file, keeps it current and accounts for every entry. What you buy is the result: a reliable view of the contract.

1.2

The service consists of six parts:

  1. building or checking the operational contract baseline;
  2. managing the file, its sources, versions and changes;
  3. registering agreements, obligations and deadlines;
  4. financial and performance records;
  5. recording meetings, actions and decisions;
  6. process monitoring, signals and reporting.
1.3

The foundation is the operational contract baseline, version 0.0. In it, Vortex brings all contract documents together into one readable whole. Answers given during the tender clarification round sit next to the requirements they belong to, and commitments from the bid are visible. Every provision refers to its source, and room for interpretation is marked.

1.4

The original documents always prevail. Every change produces a new version, and every earlier version remains readable exactly as it was.

Article 2

Where it goes wrong: the undercurrent

2.1

A management contract of eight or ten years often outlives its own project team. The agreements are spread across the contract, the requirements, the clarification notes, the bid, verification reports, general terms and a growing series of changes. After a few years, drafts sit next to final versions and no one is quite sure which text applies.

2.2

An example from practice. In year six of a ten-year management contract, a new contract manager took over: the fourth in that term. The message was: it is running fine, you can do it on the side. But the project team had changed, the information was fragmented and no one knew exactly what still applied. Meanwhile, invoices worth millions kept being paid without being traceable to the agreements.

2.3

This happens in the undercurrent: the processes, records and accountability that no one sees directly. The consequences are visible, though:

  • Paying without proof. Monthly invoices are accepted without evidence that the work was delivered.
  • A weak legal position. Whoever cannot show what applies, cannot enforce or defend it either.
  • Knowledge lost at every handover. A successor has to work out the contract again, and open obligations drop out of sight.
  • Damage to the collaboration. Unclear agreements lead to disputes and distrust, even when no one means any harm.

Article 3

Process and substance: who does what

3.1

Vortex takes on the contract secretariat; the parties keep contract management. The difference is that between process and substance. Vortex acts as contract secretary: it secures the process around the agreements, while the parties decide what is agreed.

Contract secretariat: VortexContract management: client and contractor
Processes the change and delivers a new, current viewAgrees on a change
Checks source, version and approvalAssesses technically and on substance
Monitors deadlines and open itemsTakes decisions within its own mandate
Flags discrepancies between agreement, performance and invoiceApproves performance and payments
Reports what is settled and what is missingSteers delivery and carries the relationship

Article 4

Neutral, because the file is what it is

4.1

A record is not right or wrong; it either matches the source or it does not. That is why Vortex cannot favour one party over the other. Two fixed rules keep it that way:

  1. A change that has not been confirmed is never presented as an applicable agreement.
  2. A file with open gaps is never reported as complete. Missing information stays visible.
4.2

Vortex works for the client, for the contractor or for both together. When Vortex serves one party, that party positions itself with a reliable file; what it does with that information is its own decision. When Vortex serves both, there is one shared view with no second truth beside it. The position of Vortex is recorded for each assignment.

Article 5

How it works

5.1

Contractbeeld gets a fixed place in the information flow of the contract: a central inbox such as projectX@contractbeeld.nl, a shared environment or a software link. From then on, every final document passes through Vortex.

5.2

The start.

  1. The baseline. Vortex collects all contract documents, records them unchanged in a document register and builds the operational contract baseline, version 0.0. If a good baseline already exists, it is checked and reused.
  2. The set-up. Vortex sets up the registers for requirements, prices, SLAs and KPIs, and arranges access and agreements on submitting documents.
  3. A trial run. You confirm the scope, the access, the information flow and the known gaps.
5.3

The fixed cycle during the term.

  1. Prepare. Vortex sets out formats and agenda items with expected documents, approaching deadlines and items that need confirmation.
  2. Discuss and decide. The parties hold the meeting and decide. That remains their role.
  3. Submit. The responsible party submits the finally approved documents within the agreed time.
  4. Check and process. Vortex checks version, status, completeness and approval. Financial changes and changes in obligations get a second check.
  5. Report back. Before the next meeting, the parties receive an overview of new documents, changes and open items.
  6. Follow up. Missing documents and discrepancies are tracked until they are resolved or handed over with a recognisable decision.

5.4

What you notice: one current file in the app, weekly processing, a monthly process overview and signals when something is missing or deviates. There is one fixed point of contact, and the service is evaluated with you twice a year.

5.5

What you do yourself: appoint a contact person, submit final documents on time, take decisions within your own mandate and confirm what is complete.

5.6

AI supports Vortex in reading and comparing documents. A professional checks everything and releases it.

Article 6

The window: app.contractbeeld.nl

6.1

Both parties look into the same file through app.contractbeeld.nl. The app is the window, the view. Vortex creates and maintains what you see. The platform is the intellectual property of Vortex and is not licensed out.

Example with fictitious data. Clients log in at app.contractbeeld.nl; more about the product at contractbeeld.nl.

6.2

Where the collaboration calls for it, the view grows with four optional environments: data.contractbeeld.nl for submitting raw data, kpi.contractbeeld.nl for performance research, team.contractbeeld.nl for team development and management.contractbeeld.nl for steering.

6.3

Beneath the window lies an information model in four layers: sources, structured information, models and the performance layer. It covers seven domains: contract profile, scope and assets, finance, communication, KPI, control and organisation. Provenance stays demonstrable through the link to source, version, period of validity and responsible party.

Article 7

The right moment

7.1

The best moment is the start of a contract, but Contractbeeld can join at any point in the term. There is no mandatory preliminary stage.

MomentWhat you sayWhat Contractbeeld does
Before the bid“We want to show how we will control the contract.”Makes contract control demonstrable in the bid, and is ready to use as soon as the contract is awarded.
A contract is about to start“We want to know what applies from day one.”Records the baseline version as a shared starting point.
A running contract without grip“We no longer know exactly what still applies.”Reconstructs the applicable position and keeps it current from then on.
A change of contract manager or supplier“The knowledge must not leave with the people.”Secures agreements, open obligations and history before the handover.
The end of the term approaches“What have we learned for the next contract?”Delivers a complete, traceable file as the basis for extending or re-tendering.

Article 8

What Contractbeeld is not

Contractbeeld is not…but…
a software licencea service: you receive the result, Vortex manages the platform
hired capacity at an hourly ratea fixed monthly fee, with responsibility for the result
contract managementthe contract secretariat: the process beneath the contract
legal advice, technical judgement or payment approvalrecording, checking and flagging, so that the authorised party can decide
a document management system or a shared folderone coherent file in which every record is traceable to its source

Article 9

What it delivers

What you gain
TimeNo more searching for the applicable text, version or agreement. A successor can carry on straight away from a current file.
MoneyInvoices are traceable to agreements and delivered performance. Deviations in amount or evidence are flagged; you pay for what was agreed and demonstrably delivered.
RiskA stronger legal position, because every agreement, change and approval is traceable to its source. Deadlines and obligations do not drop out of sight.
GripOne current view of what applies today, what is open and where a decision is needed, the same for both parties.
9.1

When the agreements are clear, the parties can talk about the intent rather than the letter. Contractbeeld is the foundation for a collaboration that works.
